Terms & Conditions of Service

STANDARD ENGINEERING SERVICES CONTRACT // REVISED: AUGUST 2026 // BINDING UPON PROPOSAL EXECUTION

CONTRACTUAL BASIS OF CAD & SIMULATION SERVICES

These terms govern all statements of work (SOW), CAD projects, progressive die engineering, finite element analysis (FEA), and technical consultation provided by MECVIAN Engineering.

Engagement & Scope of Engineering Work

MECVIAN provides custom 3D parametric CAD modeling, kinematic mechanism simulation, multi-station progressive stamping die architecture, structural/thermal FEA, sheet metal formability simulation, and ASME Y14.5 / ISO 2768 GD&T production drafting.

Each project commences based upon an agreed written Statement of Work (SOW) or Technical Design Brief defining clear geometric boundary constraints, target manufacturing processes, operating loads, and milestone schedules. Any alterations beyond the agreed SOW envelope require written change order confirmation.

Standard Engineering Timelines & International Delivery Framework

To eliminate delivery ambiguity and prevent commercial negotiation conflicts, MECVIAN executes all design and engineering contracts in strict compliance with internationally recognized engineering project standards (ISO 9001, VDI 2221, and ASME Guidelines). All project schedules are standardized as follows:

3D CAD & PARAMETRIC MECHANISMSStandard Sprint: 5 – 14 Business Days. Includes complete 3D solid geometry, kinematic motion analysis, and assembly hierarchy.
PROGRESSIVE DIE & TOOLING ARCHITECTUREStandard Sprint: 10 – 24 Business Days. Includes multi-station strip layout, die plates, punch inserts, and gas spring architecture.
FEA STRUCTURAL SIMULATION & FORMINGStandard Sprint: 4 – 10 Business Days. Includes non-linear stress meshing, springback calculation, and safety factor sign-off.
2D WORKSHOP BLUEPRINTS (GD&T)Standard Sprint: 3 – 7 Business Days. Complete fabrication drawing packages adhering strictly to ASME Y14.5-2018 / ISO 1101.
3D SCAN-TO-CAD & REVERSE ENGINEERINGStandard Sprint: 4 – 10 Business Days. Conversion of point clouds/mesh data into fully parametric solid CAD models with deviation inspection.

Milestone Review Gate Protocol: Client review windows are established at 3 to 5 business days per milestone. Upon delivery of milestone files, the client shall provide consolidated technical feedback or formal sign-off within this window. Absence of written change requests within 5 business days constitutes technical milestone acceptance, advancing the project to subsequent phases without schedule disruption or penalty.

Intellectual Property & Title Transfer

Upon receipt of final milestone payment settlement, all right, title, and interest in and to the custom 3D geometries, 2D drafting packages, FEA reports, and tooling designs generated exclusively for the client shall transfer unconditionally to the client.

MECVIAN retains ownership only of its underlying generic engineering scripts, internal mathematical macro calculators, and pre-existing proprietary design library primitives.

Physical Fabrication & Tolerancing Standard

MECVIAN models all geometry strictly to specified tolerance standards (e.g., ASME Y14.5-2018, ISO 2768-mK, ISO 1101, or client-supplied GD&T standards).

However, physical tooling machining, tool steel heat treatment, CNC toolpath execution, press machine maintenance, raw material composition, and shop-floor quality inspection are the operational responsibility of the client's selected fabricator, foundry, or machine shop.

Client Obligations & Input Data Integrity

The client is responsible for supplying accurate load profiles, operating temperature spectra, mating interface geometries, regulatory requirements, and material grade specifications. MECVIAN is not liable for structural shortcomings resulting from inaccurate or omitted client baseline data.

Limitation of Liability

To the maximum extent permitted by applicable law, MECVIAN shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of production, press downtime, tooling wear, or commercial revenue loss. MECVIAN's total aggregate liability arising under any project agreement shall not exceed the total fees paid by the client for the specific Statement of Work giving rise to the claim.

Governing Law & Dispute Resolution

Any controversy, dispute, or claim arising out of or relating to these Terms or engineering contracts shall be settled through good-faith technical negotiation, followed if necessary by binding international commercial arbitration under UNCITRAL Arbitration Rules.
